Welcome to GRAET!

To summarize: by using GRAET you agree to these terms.

These are GRAET’s Terms of Use (“Terms”), and they apply to all users of the GRAET Platform (“GRAET” and/or “Platform”) available under www.graet.com. “We,” “our,” and “us” refer to GRAET CZ s.r.o with its registered office at Zahrebska 562/41,120 00 Prague, Czech Republic, ID No19471670 and registered with the Municipal Court in Prague under file number C 387190. By using the Platform, you agree to these Terms and agree to or acknowledge the other policies we post, including the Privacy Policy. Please read them carefully and let us know if you have any questions. For information about our data practices, please see our Privacy Policy and our Cookie Policy. We collect, use, and share information in accordance with those policies.

1. The Basics

To summarize: GRAET enables athletes to establish professional sports profiles, forge connections with industry experts, and gather financial support from their supporters.

When you register and join the Platform, you become a Member. Depending on your position, you can be a Member as an Athlete, a Professional, and/or a Supporter. If you have chosen not to register for our services, you may access certain features as a Visitor.

Athlete (or a Player) means an Athlete who becomes a Member of the Platform and creates for free an Athlete Profile within their account and seek to connect with other Members and Visitors of the Platform and solicit financial support through the Platform.

Professional means a Member or Visitor of the Platform who holds a sports professionals position such as coach, manager, agent or scout and seeks to use the Platform to establish connections with other Members and Visitors of the Platform.

Supporter (or a Booster) means a Member or Visitor of the Platform who is making a Donation to one or more Athletes.

2. Your Account

To summarize: You must be at least 13 years old to become a Member. You are responsible for your account. You can delete your account at any time. We can terminate or disable your account at our sole discretion.

When you create an account, you must provide us with accurate information, in good faith, and you agree to keep your information updated if it changes. To create an account or otherwise use GRAET, you must be at least 13 years old and you must also be old enough to consent to the processing of your personal data in your country (in some countries we may allow your parent or guardian to do so on your behalf). You must be at least 18 years old or have your parent’s or legal guardian’s permission to have an Athlete Profile on GRAET or to make a Donation on GRAET. You are responsible for anything that occurs when anyone is signed in to your account, as well as the security of the account. Please contact us on support@graet.com immediately if you believe your account is compromised.

As a Member, you are also responsible for keeping GRAET data safe. An account is tied to you and cannot be sold or transferred for use by another person. You can permanently delete your account at any time.

You agree that GRAET, in its sole discretion, may suspend or terminate your account (or any part thereof) or your access to the Services and remove and discard any content or data at any time and for any reason, with or without notice, and without any liability to you or to any third party for any claims, damages, costs or losses resulting therefrom.

We can also cancel any membership and remove any descriptions, posts, offerings, or benefits at our sole discretion. You may not bring a claim against us for suspending or terminating another person’s account, and you agree you will not bring such a claim. If you try to bring such a claim, you are responsible for the damages caused, including attorneys’ fees and costs.

3. GRAET's Role

To summarize: GRAET is a Platform for Athletes to create professional sport profiles, connect with industry Professionals, and raise money from Supporters. The process of fundraising is carried out through a third-party payment processor Stripe which is entirely independent of GRAET. Information published on the Platform is for reference only and does not have a binding character. GRAET disclaims liability for its Members and Visitors conduct and fundraising outcomes and doesn't engage in Donation solicitation. Members and Visitors should seek professional advice, and GRAET is not responsible for Donation use or fundraising results.

Based on these Terms, GRAET commits exclusively to enabling its Members to create their own account on the Platform. The Platform serves exclusively as a space for presenting Athletes and acquiring contacts among the Platform's Members and Visitors (“Services”). The Platform does not guarantee any results, success or any other particular outcome to its Members and Visitors.

GRAET is not a payment processor and does not hold any funds. Instead, GRAET uses third-party payment processing partner Stripe to process Donations for Athletes (“Payment Processor”). You acknowledge and agree that the use of Payment Processor is integral to the Services and that we exchange information with Payment Processor in order to facilitate the provision of the Services. GRAET is not a broker, agent, financial institution or creditor.

All information and content provided by GRAET relating to the Services is for informational purposes only, and GRAET does not guarantee the accuracy, completeness, timeliness or reliability of any such information or content. No content is intended to provide financial, legal, tax or other professional advice. Before making any decisions regarding any Athlete, Donations, Supporters, or any information or content relating to the Services, you should consult your financial, legal, tax or other professional advisor as appropriate. You acknowledge that all information and content accessed by you using the Services is at your own risk.

The Platform is offered to help Athletes raise money. GRAET merely provides the technology to allow Athletes to connect with Supporters. The existence of the Services is not a solicitation of Donations by GRAET, and GRAET does not engage in any solicitation activities, or consult on the solicitation of contributions from the public, on behalf of any individual, entity, or organization. By using the Services, you understand and agree that GRAET is not responsible for the use of your Donations or the amount of funds raised for Athletes.

4. All about being an Athlete

To summarize: An Athlete is someone who creates an Athlete profile on GRAET to engage with sport industry Professionals and Supporters who make direct Donations. The provision of a Donation can be initiated on the Platform by selecting ''Boost the Athlete'' (e.g. “Boost Alex”). There are a lot of details below involving payments, fees, taxes, and restrictions that you should read in full if you are an Athlete.

4.1. Athlete Profile

To become a Platform's Member as an Athlete, simply create your professional sport profile. Creating an Athlete Profile is for free. Athletes must register using their true identities and agree to keep registration information current and up to date. When you join GRAET, you become part of the GRAET community. You can use athlete tools that we provide to, among other things, showcase your athleticism, personal and team statistics, academics, engage with the GRAET community, Professionals and receive Donations from your Supporters.

4.2. Fundraiser and Donations

Each individual Athlete Profile is associated with its individual process of financial support solicitation (“Fundraiser”). Fundraiser takes place for the duration of the Athletes Profile's existence.

Unless otherwise specified by the Athlete, the Athlete is considered the beneficiary (“Beneficiary”) of their own Fundraiser.

An Athlete may receive Donations on a one-time basis or on an automatically-renewing basis on GRAET.

Should you notice anything unusual with the Donation flow, don't hesitate to contact us. GREAT thoroughly investigates any payments issues such as fraud, chargebacks, and resolution of payments disputes. We try to provide timely access to the funds you’ve raised on GRAET. You may, however, occasionally experience further delays in accessing these funds.

We may also block or withhold access to these funds for violations of these Terms or policies or for compliance reasons. When this happens, we try to communicate the reason to you promptly. If you have questions about access to funds being blocked or withheld, please reach out to us on support@graet.com. In order to protect Athletes, we may block Supporters payments if we believe them to be fraudulent.

Sometimes activities like chargebacks from Supporters can put your account balance into the negative and any fees you’ve incurred from GRAET, as described below, may not be refunded to you when such chargebacks are processed. If your balance becomes negative, we reserve the right to recover those funds from future payments.

4.3. Declaration and Guarantees of the Athlete

You, as an Athlete, represent, warrant, and covenant that: (i) all information you provide in connection with a Fundraiser is accurate, complete, and not likely to deceive Members and Visitors of GRAET and that you will post updates as needed and any other relevant information about you as an Athlete; (ii) all Donations contributed to you will be used solely to advance your sports career; (iii) if you add a Beneficiary through the Services, you relinquish control of the Donations; (iv) you will not infringe the rights of others; (v) you will comply with all relevant and applicable laws and financial reporting obligations, including but not limited to, laws and obligations relating to registration, tax reporting, political contributions, and asset disclosures for your Fundraiser; (vi) to the extent you share with us any personal data of any third party for any purpose, including the names, email addresses and phone numbers of your personal contacts, you have the authority (including any necessary consents), as required under applicable law, to provide us with such personal data and allow us to use such personal data for the purposes for which you shared it with us; and (viii) you will not provide or offer to provide goods or services in exchange for Donations. You authorize GRAET, and GRAET reserves the right to provide information relating to you to Supporters, Beneficiaries of your Fundraiser or law enforcement or other regulatory authorities, and to assist in any investigation thereof.

4.4. Payment Processor

Donations from Supporters and their delivery  to Athletes is carried out by a Payment Processor Stripe. In order to receive and withdraw funds Athlete or Athlete's legal guardian will be required to provide the Payment Processor information regarding bank account information (“Withdrawing Account”). You, as Withdrawing Entity, represent and warrant to Payment Processor and GRAET that such information is true and that you are authorized to use the applicable Withdrawing Account.

By setting up an Athlete Profile or accepting the role of Beneficiary to a Fundraiser, the Withdrawing Entity agrees to the processing, use, transfer or disclosure of data by the Payment Processors pursuant to these Terms as well as any and all applicable terms set forth by the applicable Payment Processors. Our current Payment Processors is Stripe, Inc. (Stripe’s terms of service).

4.5. Fees

As an Athlete, there are fees associated with receiving Donations from Supporters on GRAET. These fees are collected for the benefit of GRAET through our Payment Processor. You can read more about fees here. These fees may increase or change with notice to you:

  • The Platform fee, which may include a flat fee and/or is calculated as a percentage of successfully processed Donations;
  • Feature-specific fees, which may arise from the use of particular GRAET features and may include a flat fee and/or are calculated as a percentage of successfully processed Donations;
  • The payment processing fee, which is calculated as a percentage of successfully processed Donations and a flat fee per successfully processed Donation and relates to the cost of processing payments from Supporters, including recurring billing, recovering declined payments, and fighting fraud;
  • The payout fee, which is a fee for transferring money you’ve raised on GRAET to your specified payout method; and
  • The currency conversion fee, which is calculated as a percentage of successfully processed payments made in a currency other than your payout currency.

If a Supporter pays in a currency that is different from the currency associated with their payment instrument, then the financial institution associated with that payment instrument may charge them a foreign transaction fee for that payment. We are not applying this fee and have no control over it, have no knowledge of whether the fee is applied, and do not receive any of the funds from that fee. Even if a Supporter pays in the same currency as the currency associated with their payment instrument, when a Supporter’s payment is processed in a country different from the one associated with their payment instrument, then the financial institution associated with that payment instrument may charge them a foreign transaction fee for that payment. We are not applying this fee, have no knowledge of whether the fee is applied, and do not receive any of the funds from that fee, but our choices about payment processing may impact or otherwise give rise to this fee.


4.6. Tax

It is your responsibility to determine what, if any, taxes apply to the Donations you receive through your use of the Services. It is solely your responsibility to assess, collect, report or remit the correct tax, if any, to the appropriate tax authority.

4.7. Restrictions

You are not permitted to offer any good or service in exchange for a Donation on the Platform. Athletes aged 13 and above and professional athletes can create an Athlete Profile on GRAET. If your Supporters include people under the age of 18, then please remind them that they need their parent’s or legal guardian’s permission to make Donations via our Payment Processor, and that those under the age of 13 cannot use GRAET. We are not required to allow any particular person or group of persons to access GRAET Services.

5. All about being a Supporter

To summarize: A Supporter is someone who made a Donation to Athlete on GRAET Platform. Through GRAET you have the opportunity to engage with a community of Athletes, Professionals and other Supporters.

As a Supporter, you’re supporting Athletes. You make a one-time or automatically-renewing Donation.

All Donations are at your own risk. GRAET is not responsible for any offers, promises, rewards or promotions made or offered by Athletes or other Members and/or Visitors. We do not and cannot verify the information that Athletes or other Members and/or Visitors provide, nor do we represent or guarantee that the Donations will be used in accordance with Fundraising purposes prescribed by an Athlete or in accordance with applicable laws. Notwithstanding the foregoing, we take possible fraudulent activity and the misuse of funds reported to us very seriously.


5.1. Supporters Conduct

In order to contribute to an Athlete, a Supporter will be required to provide the Payment Processor information regarding the Supporter’s credit card or other payment instrument (“Payment Instrument”) that is linked to the Supporter’s GRAET account. You, as a Supporter, represent and warrant to GRAET that such information is true, current and accurate and that you are authorized to use the applicable Payment Instrument. You agree that a certain minimum Donation amount may apply, and that all Donations are final. In the event of unlawful conduct or a violation of the Terms and according to GRAET sole discretions, a Donation may be blocked and/or refunded. Supporters acknowledge that by contributing a Donation to an Athlete, the Supporter agrees to the processing, use, transfer or disclosure of data by the Payment Processors pursuant to these Terms as well as any and all applicable terms set forth by our payment partners. Our current Payment Processors is Stripe, Inc. (Stripe’s terms of service).

6. All about being a Professional

“Professional” or “Industry Professional '' refers to a wide range of sports professionals such as coach, manager, agent, scout and others. As a Professional on GRAET you may follow an Athlete and receive regular mail notifications.

We collect and process information about the Athletes you follow. We may also derive your location from your self-disclosed country and/or your IP address. You can read more information in the Privacy Policy.


7. GRAET Dos and Don'ts

To summarize: Don’t do anything illegal, abusive towards others, that abuses GRAET in a technical way, or that exploits GRAET in an unintended manner that is detrimental to us, like using GRAET as a storage platform. If you are an Athlete raising money on GRAET, we may be exposed to risk based on what you do with those funds. These Terms cover most issues, but, if you find a new and creative way to hurt GRAET or our community, we may take action to prevent it.

7.1 Prohibited and Abusive Conduct

You are solely responsible for compliance with all applicable law in relation to your use of the Services. You are further solely responsible for all content that you upload, post, publish, display, transmit or otherwise use on your Member Profile. You agree to fully cooperate with any request we make for evidence we deem necessary to verify your compliance with these Terms.

The following are examples of what is illegal or prohibited by GRAET. This list is not exhaustive and we reserve the right to remove and/or investigate anyone who, in our sole discretion, violates any of the terms or spirit of these Terms. We further reserve the right, without limitation, to ban or disable your use of the Services, remove the offending content, suspend or terminate your account, instruct the Payment Processor to stop any payments to any Fundraiser, instruct the Payment Processor to freeze or place a hold on Donations, and report you to law enforcement authorities or otherwise take appropriate legal action, including without limitation, seeking restitution on behalf of ourselves and/or other Members and/or Visitors of GRAET.

Without limiting the foregoing, you agree and represent, warrant and covenant:

  • not to offer any good or service in exchange for a Donation on the Platform;
  • not to harvest, collect or publish personally identifiable information of others;
  • not to raise funds for a minor without the express permission of the minor’s guardian;
  • not to use the Services on behalf of a third party or post any personal data or other information about a third party, without the express consent of that third party;
  • not impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, misrepresent an Athlete through the Services, or post content in any inappropriate category or areas on the Services;
  • not to create any liability for GRAET or cause us to lose (in whole or in part) the Services of our internet service provider(s), web hosting company or any other vendors or suppliers;
  • not to gain unauthorized access to the Services, or any account, computer system, or network connected to the Services, by any unauthorized or illegal means;
  • not to obtain or attempt to obtain any materials or information not intentionally made available through the Services;
  • not to use the Services to post, transmit or in any way exploit any information, material for commercial purposes, or that contain advertising, except when expressly permitted by these Terms;
  • not to transmit more request messages through the Services in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser;
  • not to undertake any activity or engage in any conduct that is inconsistent with the business or purpose of the Services; or
  • not to attempt to undertake indirectly any of the foregoing.

Additionally, with respect to all Donations you make or accept, you agree and represent, warrant and covenant:

  • not to make or accept any Donations that you know or suspect to be erroneous, suspicious or fraudulent;
  • not to use the Services in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the United States Office of Foreign Asset Control (OFAC);
  • to maintain reasonable and standard security measures to protect any information transmitted and received through the Services, including without limitation, adhering to any security procedures and controls required by GRAET from time to time;
  • to maintain a copy of all electronic and other records related to Fundraisers and Donations as necessary for GRAET to verify compliance with these Terms and make such records available to GRAET upon our request. For clarity, the foregoing does not affect or limit your obligations to maintain documentation as required by applicable laws, rules, regulations, or governmental authority; and
  • at GRAET’s request, to fully cooperate in the auditing of, investigation of (including without limitation, investigations by GRAET, a Payment Processor, or a regulatory or governmental authority), and remedial efforts to correct any alleged or uncovered violation or wrongdoing of a Member and/or Visitor of the Platform to whom, or Fundraiser or Donation to which, you are connected.

GRAET reserves the right to instruct the Payment Processor to refuse, condition, or suspend any Donations or other transactions that we believe in our sole discretion may violate these Terms or harm the interests of our Members, Visitors, business partners, the public, or GRAET, or that expose you, GRAET, or others to risks unacceptable to us. We may share any information related to your use of the Services with the appropriate financial institution, regulatory authority, or law enforcement agency consistent with our Privacy Policy. This information may include information about you, your account, your Supporters, your Donations, and transactions made through or in connection with your use of the Services.

7.2. GRAET's Investigation

To summarize: We may look at some pages and posts on GRAET and review reported pages to identify potential violations of these Terms and our policies.

We look at some pages and posts on GRAET to enforce these Terms and our policies. We also investigate reports of potential violations. These investigations may take a while to resolve and, primarily because GRAET may be exposed to risk based on what is done with funds raised on GRAET, may include reviewing activity outside of GRAET.

In most situations, we will work with Athletes, Professionals and Supporters to resolve any potential policy violations and allow the Athlete, Professional or Supporter to continue using GRAET. GRAET may terminate Athlete, Professional or Supporter accounts when we believe it is necessary to protect Athletes, Professionals, Supporters, GRAET, or the broader community, but it is not an action we take lightly.

GRAET reserves the right to remove an Athlete, Professional or Supporter from participating in receiving or giving Donations. This will not, however, result in an automatic removal of an Athlete, Professional or Supporter from GRAET, unless there is an independent basis for that removal.

Please let us know if you see potential violations of our Terms of Use.

8. Modifications to the Platform

To summarize: GRAET reserves the right to modify, suspend or discontinue, temporarily or permanently, the Services (or any part thereof) at any time and for any reason, with or without notice, and without any liability to you or to any third party for any claims, damages, costs, or losses resulting therefrom.

We are constantly experimenting with product features to make GRAET better and may add, remove, or test features with a subset of creators. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations.

9. Intellectual Property Rights

To summarize: You grant GRAET a non-exclusive, worldwide license to use and modify your content for various business purposes. You still own your content, but GRAET can use it, attribute it to you, and analyze it in connection with the Platform.

You grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to: host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of any information, data, and other content made available by you or on your behalf (including by your Service Providers) in connection with Platform (collectively, “Your Content”) for any business purpose in connection with operating, providing, or improving Platform. This license remains in effect even if you stop using Platform. Without limitation, your license to us includes: the right to incorporate Your Content into other parts of GRAET Platform, the right to attribute the source of Your Content using your name, trademarks, or logos; the right to use Your Content for promotional purposes, and the right to analyze Your Content (including to make sure you’re complying with these Terms and all other applicable terms and policies). If you owned Your Content before providing it to us, you will continue owning it after providing it to us, subject to any rights granted in these Terms or any other applicable terms or policies and any access you provide to others by sharing it via Platform.

10. Third-party Apps and Services

To summarize: You may grant third-party apps and services access to your GRAET account and you may grant GRAET access to third-party apps and services. You may also revoke this access.

When you connect your GRAET account to other websites, apps, or services, you may be asked to give those websites, apps, or services access to information about your GRAET account and/or permission to perform actions within your GRAET account on your behalf. If you choose to take this authorization action, then we will follow your instructions and grant the access or permission that you’ve selected. You can learn more in our Privacy Policy.

Notwithstanding the foregoing, any procurement or use of Third-Party Applications is solely between you and the applicable third party, and GRAET will have no liability for such Third-Party Applications. GRAET cannot guarantee the continued availability of such Third-Party Applications or the Services’ integration with them and may cease providing the integrations without entitling you to any refund, credit, or other compensation, if for example and without limitation, the provider of a Third-Party Application ceases to make the Third-Party Application available for interoperation with the Services in a manner acceptable to GRAET.

11. Marketing Communication

By using our Services, you agree to receive occasional marketing communications from GRAET. These communications may include information about new features, updates, promotions, and other relevant content related to our Services. You can opt out of these communications at any time by following the unsubscribe instructions provided in the messages.

Please note that while you can opt out of marketing communications, you may still receive important Service-related messages, such as billing notifications, account updates, and system announcements. These messages are considered part of the Service and cannot be unsubscribed from.

12. Ownership

To summarize: You agree that any bug reports or suggested improvements that you provide to GRAET will be fully owned by GRAET. Athletes can use our copyrights or trademarks to promote their Athlete Profiles, but can’t use them for anything else without our permission.

Our creations are protected by copyright, trademark, patent, and trade secret laws. Some examples of our creations are the text on the www.graet.com site, the text on GRAET’s other websites, our logo, and our codebase. We grant Athletes a license to use our logo and other copyrights or trademarks to promote their Athlete Profiles. You may not otherwise use, reproduce, distribute, perform, publicly display, or prepare derivative works of our creations unless we give you permission in writing.We welcome your feedback on the performance of the GRAET product, including any early-access, beta, or test features to which you’ve been given access, and your help in identifying any problems, bugs, and defects. You agree that any suggestions, comments, ideas, bug reports, or suggested improvements that you provide to us will be fully owned by us so that we can use them to improve GRAET and thereby better help the community of athletes, industry professionals and supporters.

13. Disclaimer and Limit of Liability

13.1 No Warranty

To summarize: We do our best to make sure GRAET works as expected, but stuff happens.

Your use of the services is at your sole risk. The services are provided on an “as is” and “as available” basis. GRAET and its affiliates expressly disclaim and exclude, to the fullest extent permitted by applicable law, all warranties, conditions and representations of any kind, whether express, implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

GRAET and its affiliates make no warranty or condition that: (i) the services will meet your requirements; (ii) the services will be uninterrupted, timely, secure, or error-free; (iii) the results that may be obtained from the use of the services will be accurate or reliable; or (iv) the quality of any products, services, information, or other material purchased or obtained by you through the services will meet your expectations.

You agree that you are solely responsible for your interactions with anyone else in connection with the Services and GRAET will have no liability or responsibility with respect thereto. GRAET reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Services.

13.2. Indemnity

To summarize: If we are sued because of your use of or conduct on GRAET, you have to help pay for it.

In addition to and without limiting the scope of the indemnification you will indemnify us and hold harmless from all losses and liabilities, including legal fees, that arise from these Terms or relate to your use of GRAET Platform. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right, then you will help us in our defense. Your obligation to indemnify under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

14. Limitation of liability

To summarize: If you lose money as a result of using GRAET, any payment to you is limited to the amount you paid to GRAET in the last six months or $100 depending on which is greater.

You expressly understand and agree that, to the fullest extent permitted by applicable law, neither GRAET nor its affiliates will be liable for any: (i) indirect, incidental, special, consequential, punitive or exemplary damages (ii) damages for loss of profits (iii) damages for loss of goodwill (iv) damages for loss of use (v) loss or corruption of data or (vi) other intangible losses (even if GRAET has been advised of the possibility of such damages), whether based on contract, tort, negligence, strict liability or otherwise, resulting from: (a) the use or the inability to use the Services (b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services (c) any promotions and related prizes or rewards made available through the Services (d) unauthorized access to or alteration of your transmissions or data (e) statements or conduct of any third party on the Services or (f) any other matter relating to the Services. To the fullest extent permitted by applicable law, in no event will GRAET’s total liability to you for all damages, losses (including contract, negligence, statutory liability or otherwise) or causes of action exceed the amount you have paid GRAET in the last six (6) months, or, if greater, one hundred U.S. Dollars (US$ 100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you. If you are dissatisfied with any portion of the Services or with these Terms, your sole and exclusive remedy is to discontinue use of the Services.

15. General

15.1. Dispute Resolution and Governing Law

We encourage you to contact us if you have an issue. If a dispute does arise out of these Terms or in relation to your use of GRAET, then the dispute will be resolved in the courts located in Prague, Czech Republic. Czech law, excluding its conflict of law provisions, governs these Terms, all other GRAET policies, and any dispute that arises between you and GRAET.

15.2. Force Majeure

GRAET shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, war or threats of war, terrorism or threats of terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, governmental regulation or advisory, recognized health threats, as determined by the World Health Organization, the Centers for Disease Control, or local government authority or health agencies, strikes or shortages or curtailment of transportation facilities, fuel, energy, labor or materials.

15.3. Notices

Notices to you may be made via email or regular mail. The Services may also provide notices to you of changes to these Terms or other matters by displaying notices or links to notices generally on the Platform. GRAET may, at any time, assign our rights or delegate our obligations hereunder without notice to you in connection with a merger, acquisition, reorganization or sale of equity or assets, or by operation of law or otherwise.

15.4. Miscellaneous

These Terms and any referenced policies constitute the entire agreement between you and GRAET and govern your use of the Services, superseding any prior agreements between you and GRAET with respect to the Services. You also may be subject to additional terms of service that may apply when you use affiliate or third-party services, third-party content or third-party software. The failure of GRAET to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be (or are otherwise) invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. You may not assign these Terms without the prior written consent of GRAET, but GRAET may assign or transfer these Terms of Use, in whole or in part, without restriction. If we fail to enforce any of our rights, that does not result in a waiver of that right.

The section titles in these Terms are for convenience only and have no legal or contractual effect.

15.5. Personal Data Protection

The terms and conditions of the Privacy Policy available at www.graet.com which is hereby incorporated herein by reference and governs processing of personal data under these Terms.

15.6.Changes to the Terms

GRAET reserves the right to revise these Terms from time to time. GRAET will date and post the most current version of these Terms on the www.graet.com. Any changes will be effective upon posting the revised version of these Terms (or such later effective date as may be indicated at the top of the revised Terms). If, in GRAET’s sole discretion, GRAET deems a revision to these Terms to be material, GRAET may notify the Members. Member’s continued access or use of any portion of the Services constitutes Member’s acceptance of such changes. If a Member does not agree to any of the changes, GRAET is not obligated to continue providing the Services, and the Member must stop using the Services. No modification, amendment, or waiver of any provision of these Terms will be effective unless it specifically references these Terms, explicitly expresses a desire to amend these Terms, is set forth in writing and is signed by both parties.

15.7 Survivability

In the event that these Terms cease to be effective, the following sections will continue to apply: Intellectual Property Rights, any and all provisions relating to Limitation of Liability, Dispute Resolution and Governing Law.
